First, Concentrate on putting the three batteries in, then attack the nemesis with the strongest weapons you have; for example, the Mine thrower, grenade launcher (personally I used the freeze rounds), Magnum, whatever you pick till he's driven back, watch the rail cannon destory it, and you can take it from there.
