in a JLA/Avengers crossover Bats and Cap fought. After a few exchanges Batman admitted that Cap would eventually beat him, though it would take a while.

Captain America has better strength, heck he is a "super soldier".

But Batman on the other hand, may have martial arts and a very cunning mind (He can take on Lex Luthor with his "IronMan" armor)

in reality this would be a pretty even fight both know cqc. Captain America has his Adamantium shield and Batman his gadgets.
