I guess they touched it up for the version on 3DS because I've seen several moves on there that my counter worked. For those who haven't seen his 2nd ultra yet, he kicks the knee, pummels them with a flurry of punches then uses Bruce Lee's famous 1 inch punch.

@alex9033 Like focus attacks, counter ultras don't work on anything that's armor breaking.
The idea is to know what attacks are armor breaking and not try to use the counter ultra against them. Cause that would be dumb.
