The Captain America from the past and the one stark is building the shield for is one and the same.I am almost sure the captain america movie will end with him being frozen in the artic just like in the old comics.If you see the alternate beginning to the incredible hulk you can see a figure in the ice which is presumably the captain frozen in the arctic.He was probably discovered during or before the first Ironman movie witch is where you first see Tony's shield prototype.

@IWantToKnowChrist In the trailer for Captain America: The First Avenger, you hear mention of a "Mr. Stark" (presumably Howard Stark), so Stark Industries definitely had something to do with the super-soldier serum and Cap's creation. Also, it would make sense that maybe Tony Stark is working on some sort of new prototype for Captain America's shield (although it's possible that at this point in the timeline, Tony and Steve Rogers have never met).
