What is a Letter of Intent? A Letter of Intent is a written agreement that sets forth the preliminary understanding between the Buyer and the Seller. It frames what the transaction will look like - the price to be paid, the form of payment, the structure of the transaction, and a roadmap to closing.

You'll also want to qualify your offer as being based on:
1) the offering memorandum prepared by the investment banker; 2) conversations with management and/or its representatives; 3) any additional information received
