Im considering upgrading to a 4GBram vista 64 and core i7, or an xbox360.....

It will probably run smoother on the PC but I prefer it on the console (360) I have always played GTA on consoles though. Personal preference.

Yeah I'd say the minimum specs for GTA IV is a Core 2 Duo 2.6GHz/ AMD Athlon X2 6000+ with 2GB of RAM. I would say that would run pretty smoothly
can i play on maximum settings
Yeah. It's not that demanding on the graphics, it will run on GTX 280 Core i7 system at probably 60fps or so on the maximum distance and graphics settings
