Raj Mahale is a partner in the firm's Stamford office. He has extensive experience regarding emerging market matters, particularly in South Asia and the Middle East. He represents both U.S. and foreign entities on cross-border transactions such as mergers and acquisitions, joint ventures, venture capital, private equity, fund formed and outsourcing matters. Mr. Mahale has structured several mergers & acquisitions, private equity and venture capital deals in IT/Outsourcing, healthcare and financial services space. He has also formed several feeder funds and offshore funds. He also has experience in preparation and negotiation of various professional services agreements; software and technology license agreements; software and technology development and distribution agreements and other technology related agreements. Additionally, Mr. Mahale has advised several new and emerging companies in their initial development, structuring and financing. His clients include Fortune 1000 companies, major healthcare systems, emerging growth technology companies, Tier 1 BPO/ITES companies, large institutional clients of the firm, funds and private equity firms.
Representative Experience
* Represented a major Indian privately held company with operations in the United States and Canada in a $20 million acquisition of a privately held technology company through a reverse subsidiary merger.
* Represented a major Chinese publicly traded company in its $30 million acquisition of a U.S. technology company.
* Represented Fortune 1000 companies in their outsourcing and procurement strategies with vendors outside of the United States.
* Represented several Tier 1 Business Process Outsourcing (BPO/ITES) companies and served as corporate counsel to handle corporate governance, corporate finance, outsourcing vendor agreements and investor relations matters.
* Represented several BPO/ITES startups in organizing company documents, raising capital and drafting investor financing documents.
* Represented a major information technology company in the sale of its U.S. operations to an Indian information technology company for stock worth $3.5 million.
* Formed several India feeder funds in the range of $10 million to $50 million through Mauritius and Singapore for India related investments.
* Structured several Private Placement Memorandums for capital raise in the range of $15 million to $40 million.
* Represented a U.S. privately held company in its $30 million acquisition of a major Indian information technology company.
* Represented a $7 billion Dubai-based holding company with major operations in India in its acquisition of several U.S. information technology companies in deals ranging from $6 million to $60 million.
* Conducted an extensive special investigation on behalf of a U.S. technology firm that involved, among other issues, potential FCPA violations arising from activity of its foreign subsidiary operating in India and other foreign markets.
