You need to jailbreak it and install Winterboard from Cydia. Follow the guide at iPhoneOS3 (dot) com to learn how to jailbreak iPhone 3.1.2.

try redownloading it and then rebooting your comp before running it and also make sure you close itunes and quit iTunesHelper(.exe) on both mac or windows. use ctrl-alt-del on win, and open activity monitor on mac
