Apparently Conan gets a massive payout if he excepts the 12:35 slot OR the same massive payout if he doesn't except and goes to FOX instead, who is offering a second massive dollar amount if he does just that. By the way Leno's ratings sucked when he took over the Tonight Show too, but NBC gave him more time than Conan. So Conan should leave NBC because NBC is dumb.
