Civil 3D is for doing Civil Engineering Design 3D MAX is for doing rendering and animation two totally different programs but you can take a Civil 3D Model and bring it into 3d MAX to enhance the rendering and animation.

AutoCAD Civil 3D is a Civil Engineering Application that is Built on AutoCAD. So no it is not a replacement for AutoCAD.
Civil 3D will help if you plan on working for a Civil Engineering or Land Surveying firm.
