Well, if you have Sony Vegas, get the clip you want. Then get it again and put it in the timeline above. Zoom it in a little, fade it over the other clip, and Voila!

With the top clip, bring you cursor to the top of it and just pull down. A small line should appear as you do so, and just pull it down as much as you want it faded.
