Softimage Mod Tool, it's a free version of Softimage XSI specifically aimed at computer game modification. It's a great tool for working with the source engine.

It may be, I've never used 3DS Max. They look pretty similar in terms of basic controls but I really can't say what it would be like to go between them without testing 3DS Max myself.
