MS seemed desperate of course trying to buy Yahoo! and really bad mistake because that's like saying: Hey I'm so desperate I need to buy you so I can make more money... please. What does Yahoo! say? Well...no...and if you wanna come back with an offer once we say so it better big bigger. Yahoo! afforded to say that because MS can't do shit other then say ok or no and not win. This is what I think it looked like from my perspective.

Microsoft's problem with all this fight with Google is they offer what is already there and barely make anything new. Google STILL make new stuff or big updates. MS barely does and they arrived late and in this fight late means DONE. Once Google gets everyone's attention and offer so much from the beginning and then adds more each time then it's done! Bing sucks and mainly because it came late with old stuff. They're trying to put it with Xbox I think or already have also with other stuff (WLM).
