I think they're both nearly identical, but the H5 Extreme might have a better handling, due to the horizontal shape. maybe you can check out both in a shop?
sorry, i can't compare the two, because i never held a xacti cam in my hands. the sound is okay as long as it's not too loud, but can you hear the high pitched beeping noise in my video? it's always there, as long as you don't buy an extra microphone.
Sorry i can't tell. But i really like it's video quality. For this price the camera is pretty good, as long as you don't have professional pretensions.

all software you need is on a CD in the package. it updates automatically, there are no extra costs.
