If you remember earlier on in the film Paulie signed all of Rocky's money away in that deal that got them bankrupt. And Rocky couldn't go to prison for hitting him because it was a provoked assault.

@Limeisbeast Rocky and his family (Adrian, Rocky Jr. aka Robert, and Polly) are because it said that sometime during the 4th movie although it isn't shown that the Balboas accountant sent papers over to Polly that wasn't really a big deal but still need Rockys signature saying that it was just standard shit, but it was really papers that with Rocky's signature granted their accountant power of attorney and he basically stole every penny they had.

@thecheesecake123 No it's not because he's broke. Duke already knows that because that's why he has been offering the Balboa family Boxing deals & contracts. He said "touch me & I'll sue, cmon punk you touch me and I'll sue" because he knows Rocky dislikes him from the beginning but didn't lose his temper till just now because he can't stand him. That and because Duke harassed him, his wife, family, protege, etc. That's why Rocky punched him out. Simply put he hates the guy
