I have played WH40k since second edition. And I think that the resemblance is a sort of "broad strokes" similarity due to the fact that basically they are both mining sci fi for the same tropes and cliches.

WH40K is gothic, GRIMDARK and much, much over the top, while I find SC atmosphere much more similar to an Heinlein view of future history.
