I'm currently playing this game, got sick of WoW and waiting for Aion to release, the pvp is MUCH better than WoW, but other than that im not super impressed. The graphics are lacking severely. In terms of graphics, both WoW and WH are similar, WH having the slightly newer access to cards and drivers though.

Gameplay, yes they are similar, so is just about every new MMORPG if you go look.

As for the lore? I played into the 50's in WoW and was disgusted by the deviation or lack of the lore it held. There's names, places, races, etc...but they have very little of the actual lore from the warcraft universe. I can't say about WH though, I haven't played it and don't know its content.

My only regret is that they don't yet have a WH40k Online. I think that having WH and WH40k Online games side by side would be amazing.

From the medievalish feel of the original to the space age chaotic style of 40k.

A WH40k online wouldn't have to even incorporate an FPS style to it, the MMO range style would still work. Hopefully they've got it in mind already so that we can enjoy both renditions of the game in a MMORPG style.
