you will in low light. and high iso you well see alot less noise.. reason I know is I have both.. the d3s and the d300 and the d200...

Compression artefacts. This real deal is much better than this. Besides, the term 'HD' has nothing to do with the noise levels. It just means 'High Definition' or in other words large size videos. It's not a measure of quality.
