Vocaloid is a program you pay for. They actually take samples from peoples' voices and use those for the vocaloids voices. UTAU is a free program that started off as a prank. They tend to sound more robotic than Vocaloid.

Also, with the new version of UTAU, the voices sound muuuch better than they did. They sound more human.
