Actually IBM and Microsoft works together on OS/2... you right NT 3.1 is based on OS/2 but every new major release of Windows (WinNT 4.0 kernel 4.0, Win2000 kernel 5.0 Windows Vista kernel 6.0) has a new kernel -not only new GUI!.
And BTW WinME is based on Win95, Win95 on WfW 3.11/DOS 6.xx, DOS is based on CP/M 86, CP/M 86 is based on original CP/M for 8080/Z80 processors, CP/M 80 is based on TOPS-10 (DEC PDP10) etc. etc. Also MacOS is based on System 1-7 -> Apple ProDOS -> Apple SOS -> Apple CP/M ... -that's absolutely NORMAL to base new OS on another famous/successful OS.

DOS+GUI became Windows 3/95/98/ME
Microsoft worked with IBM on OS/2, which later became -> Windows NT.
Entire NT line (NT4, 2000, XP, Vista) is based on first NT, they only have different GUIs.
NT3 GUI was based on Win3.11, NT4 had GUI from Win95, NT5 - aka 2000 - had newer GUI still based 9x, while NT5.1 (aka XP) and NT6 (aka Vista) got their own GUIs.
MS never had its own OS, they just add their own GUIs :)
There's PLENTY of non-GUI related and kernel related changes in the Windows OSes.
Or in any OSes series of any company/group...
Window 3 was not a GUI for DOS apps, but added Windows 16 bits graphic applications all over the place. Win16 application cannot run in DOS.
Windows 95/98/ME added 32 bits and Win32 apps, services, and tools. Can't run that in DOS either. And Windows 9x/ME was a preemptive multitask OS. DOS was a "monotask" OS.
NT *always* had log off option, and it is possible to add it to the Start menu if you enable it with TweakUI and you have installed shell update (aka Active Desktop - part of IE4/IE5/IE6).

Not that much.
You could use modified Vista icons, match sounds and wallpaper, and some colors/themes, but still NT4 wouldn't look much Vista-alike, only partially.
Try NTVU (NT Visual Update) it is available on msfn board for long time, see pictures there and decide for yourself.
But OTOH Vista-alike for Windows 2000 or XP is not much problem ;-)

And the NT line had no proper plug & play implementation before NT 5.
And there is x64 versions of Windows XP/2003/Vista. Coding a x64 version cannot be done only by changing the GUI code.
And, for instance, every Win32 OS had a different driver model. For example, NT 4 drivers cannot work with NT 3.51, Win95, or Win. NT 5.
Win. NT 3.1 was the first version of Windows to utilize 32-bit "flat" virtual memory addressing on 32-bit processors.
