Ultron will win. Metallo is not a threat to superman without kryptonite and even then supes has wrecked him many times while ultron can do lots of things on his own.

Ultron. Its not a contest....its a slaughter. Ultron beat the Hulk, Ultron took over the Phalanx mind and nearly wiped out the Kree empire, Ultron can repair, control machines, fly, project energy strong enough to knock thor and the hulk back with out exploiting a special weakness, and is just insanely strong. He would either assimulate Metallo or kill him out right in less than a second.

Ultron also has cronies, and robo henchmen. Ultron has also went toe to toe with The Hulk. Also, he has a Adamantium skeleton, he's also smarter than Matallo, but Daredevil has beaten a version of Ultron. There are serveral different versions of Ultron. I'd have to say Ultron beats Matallo. Utron has had armies under his control, and went toe to toe with The Hulk. It would be a question of can matallo absorb Utlrons minions, or can Utron take over Matallo.

Ultron is an adamantium BEAST! He shouldn't have any trouble dealing with Metallo in the strength department. As (nighttrain 1971) mentioned below; Ultron alone is enough to threaten the entire Avengers team, including physically matching Hulk. He is virtually indestructable, vastly intelligent, and could transplant his consciousness into Metallo and assimilate his robotics to use to his advantage -although supposedly Metallo can perform a similar trick. Close fight, but my choice is Ultron.

Very close match... The Avengers get kicked by Ultron alot, but even without the Kryptonite weakness, Metallo can still hurt Superman. BUT here's where it becomes one-sided:

Metallo can absorb ANY kind of metal into his body and become more powerful and larger. I think he'd just turn Metallo into a part of his body and then... yeah. I'll go with Metallo.
