Why are you wrapping the text in another div? Also you really don't need an image to get a transparent background. Well...IE becomes a problem with transparent CSS backgrounds, then you may have to still use the image. Still try this, less html code :)

background-image: url('transparent.png');
with
background-color: lightcyan;
and carry on as normal, pretty much the same outcome.

yes, you can manipulate it using css by setting the opacity level of its division but the problem is that it doesn't support for IE
