Do the "find a place' or "driving directions" features work in offline mode, without a gps module and no internet either. I have downloaded the map on the ipod touch 3g, could see and move around the map, but not find places in the map wihile i am in a complete "offline mode"

To use these features, you have to be online. Then you can store the directions on your iPod and then later use them offline. You just can't recalculate directions with xGPS when you are offline, but you can used stored directions. If you wish to use offline routing, you will need to use an AppStore app like TomTom or Navigon instead.
