I don't see why emulation of genesis game would be illegal since Sega doesn't profit in any way from the genesis anymore. The only place you will find a genesis or a game for it would be bought from somebody else who had it and not from any official game store so Sega won't be making money off that anyway. Emulation should only be illegal if the product is still being sold in stores. You can't take money away from a product that isn't bringing in any money anyway.

Certain games are officially emulated on some of Sega's collections, such as Sonic's Ultimate Genesis Collection (or Sonic's Ultimate Mega Drive Collection if you're in Europe) on the 360 and the PS3. Same goes for some titles released on the Wii Virtual Console.

Nintendo, however, has an epic zero-tolerance policy against unofficial emulation of their games. Including NES titles. They deal with illegal emulation immediately. I busted my brother in 2008 for emulating SNES games.

Copyright is kinda vague but so far it's been considered legal to receive these kinds of things; you can't get sued for possession. (EULAs might change this but I believe them to be unenforceable, outside of the ninth circuit court.)
