No. The difference between remake and remakespoitation pieces is that remakes were legally licensed while remakesploitation pieces copied aspects of the movie without permission. In other words, they are illegal in the sense that they aren't legally authorized remakes.
At the time Nosferatu was made, it was considered an unauthorized film adaptation of Dracula. F. W. Murnau tried to get around the law by changing the characters' names, but there were still enough simularities to the original book to allow Bram Stoker's widow to sue for copyright infrigement.
Since then, both the original novel and Nosferatu lapsed into public domain, so anybody can make any movie based on either of those works without any legal obstacles.
