Catwoman and Black Cat are actually pretty different.

Catwoman was an orphan who then was raised by a band of thieves and later left and became a prostitute living on the streets.

Black Cat aspired to be like her father, who was the best cat burglar in the city. He was incarcerated and she took his spot. Black Cat also actually has super powers; she is literally bad luck at one point, then gains the power of an actual cat, with super strength.

actually Black Cat has numerous aspects to her which are, or at least Were, unique and set her apart from her DC counterpart, Black Cat was always more of the Thrill seeker type girl, hence her nickname "Party Hardy"

since then of course DC has taken that in some of their newer portrayls of Catwoman, just look at Ultimate Black Cat and compare her to Catwoman in Mortal Kombat vs DC Universe.

Marvel doesn't just rip off DC, they go back and forth, like everyone else.
