I read somewhere that he will talk only when you kill someone or something with a large soul like a troll or sabre cat or even a companion. He doesn't have much to offer i guess, but if he's on the move you can probably follow him to his grave and get some cool stuff (i guess).

Actually, the Headless Horseman speaks, but not directly towards you. He seems to say "Finally..." or "Finality..." when you kill something while near him. You're supposed to follow him, he takes you to this one place called Hamvir's Rest if you're able to reach there before daylight. If you're following him and it become morning though he says "Such is an end to our game."
