The one in the Iron Man films is clearly only a prototype left over from when Howard Stark (who for OBVIOUS reasons had to be played by a younger actor in Captain America) was designing them, or it's a replica that Tony bought. Given how flimsy it is in Iron Man 2 it's most likely a toy version Tony played with as a child and he kept for nostalgia purposes. There's no way it could be the same shield.

@Atlas2421 Howard Stark made caps shield so its not strange for it to be in tony starks home. and captain americas shield is made of vibranium and iron a perfect mixture which allows it to stop othee vibranium weapons such as the black panthers claws.
