Asuna dies in episode 23 i believe, at the end of the credits that follow the "early party". She tries to confess her feelings for Negi, but as the clock strikes 12, her eyes go blank and her heart stops. *reference to death note, because it IS similar* Poor Negi thinks she slipped, then finds out that she's dead. Afterwards, the screen is pointed towards a cresent moon with pink/magenta colors to represent pain, death, and grief. To be hones, I cried too
