because it counts seconds, and in 2038 is when the seconds will reach 9999999999, and then 32 bit time will overflow and fail.

the entire 1234567890 celebration is an attempt to raise awareness of this fault in 32 bit time so we can convert to 64 bit time, thus solving the problem.

It started in 1970. If it takes 39 years to come to 1234567890 seconds it should take a bit longer to come to 9999999999.

It's stored as 32 1's and 0's which give 2^32 possible numbers. With that I'm guessing most systems used a signed int meaning you need to divide that number in two to give room for positive and negative values leaving you with 2^31 for your positive max of 2147483648 seconds or roughly 68 years giving you the 2038 figure.
