well i solved it by following steps:

-put on run as admin and run xp compactibility

-download the latest UNOFFICIAL patch and dont forget to put of the auto update mode on steam

i done this and it worked great! very nice game, love it, good luck!

@dfghj241 You have to get a patched engine.dll file for Xeon chips. It's pretty easy to find.
