Pheonix Down refers to reviving the fainted, not the dead, and Sephiroth managed to take her out with a stab through the heart.

About the models, it's the PC version of Final Fantasy 7, with a patch that replaces in-game models with battle models for all game. Sometimes the characters don't fit the backgrounds very well but at least the game looks very similar to the FMV's. The patch is called The Reunion Patch, it shouldn't be difficult to find on Google. There is another patch that just adds proper hands to the original models, but I think this one is better.
